Welcome to Club Steer. These Terms of Service ("Terms") govern your use of the Club Steer web application and related services (collectively, the "Service") provided by Solution Ninja ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes related to managing your club or organization.

2. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information as needed
• Accept responsibility for all activities that occur under your account

3. License Restrictions

You agree not to:

• Copy, modify, or distribute the Service or any content without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to develop a competing product or service
• Share your account credentials with third parties
• Upload or transmit viruses, malware, or other harmful code

4. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You acknowledge that:

• You are responsible for the data you upload to the Service
• You have obtained necessary consents for any personal data you process through the Service

5. Club Administration

If you are a club administrator or owner:

• You are responsible for managing user access within your club
• You must ensure compliance with applicable data protection laws
• You are responsible for the accuracy of member data entered into the Service
• You may create up to three (3) clubs per account

6. Subscription, Billing, and Refunds

6.1 Free Trial

New users are eligible for a 14-day free trial period. During the trial, you have full access to all features of the Service. No payment information is required to start the trial. At the end of the trial period, you must subscribe to continue using the Service.

6.2 Subscription Billing

After the free trial, the Service is billed on a monthly subscription basis. Your subscription will automatically renew each month unless cancelled. You will be charged at the beginning of each billing cycle.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent months
• You retain access to your data and can export it before your access ends
• No partial refunds are provided for unused time in the current billing period

6.4 Refund Policy

We want you to be completely satisfied with Club Steer:

• 30-Day Money-Back Guarantee: We offer a full refund within 30 days of your initial purchase or any subscription renewal. No questions asked.
• Free Trial: No payment is collected during the 14-day trial period, therefore no refund is applicable during this time.
• How to Request a Refund: Contact us at clubsteer@solution-ninja.com with your account details. Refunds are typically processed within 5-7 business days.
• Billing Issues: For any billing errors or technical issues, contact us immediately. We will investigate and resolve issues promptly.
• Chargebacks: We encourage you to contact our support team before initiating a chargeback with your bank. We are committed to resolving any issues quickly. Please note that excessive or fraudulent chargebacks may result in account restrictions.

6.5 Payment Processing

Payments are processed by Paddle.com, which acts as the Merchant of Record for all transactions. This means Paddle is the legal seller and handles payment processing, tax collection, and compliance. For payment-related inquiries, you may contact us or Paddle directly.

7. Updates and Modifications

We may update, modify, or discontinue the Service or any features at any time. We will make reasonable efforts to notify you of significant changes. Continued use of the Service after changes constitutes acceptance of the modified Terms.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees

Upon termination, your right to use the Service will immediately cease. You may export your data before termination where technically feasible.

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Solution Ninja. The Service is protected by copyright, trademark, and other intellectual property laws. Your data remains your property; we claim no ownership over content you upload to the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLUTION NINJA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service

Our total liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Solution Ninja and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Germany.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Complaint Resolution

We are committed to resolving any complaints or concerns promptly:

• Response Time: We aim to respond to all complaints within 48 hours
• Resolution: We strive to resolve issues within 7 business days
• Escalation: If you are not satisfied with our resolution, you may contact the appropriate consumer protection authority in your jurisdiction
